These General Terms and Conditions of Use shall apply to the Affiliate Partner Program of Seobility and shall govern the contractual relationship between seobility GmbH and the participant in the Seobility Partner Program as an intermediary.

Preamble
seobility GmbH, Willy-Brandt-Platz 16, 90402 Nuremberg, Nuremberg Local Court, HRB 26545, telephone: 0049 911 23756261, represented by managing director Matthias Lugert, operates an affiliate program for the website www.seobility.net under the website affiliate.seobility.net/.

Contracting parties
The contracting parties are seobility GmbH (Seobility) and the participant in the partner program (Affiliate).
Subject matter of the contract
1. The purpose of the affiliate program and thus the subject matter of the contract is the acquisition of new customers.
2. The Affiliate shall be responsible for implementing the advertising option selected by the participant.
3. The Affiliate is responsible for the costs of the advertising means chosen by him.
4. The Affiliate shall not incur any obligations or costs as a result of registering with the Seobility affiliate program.
5. A legal entity is allowed to register for one Affiliate account. It is not allowed to have multiple Affiliate accounts per legal entity or associated with one email address. For clarification, an individual person may manage more than one Affiliate account.

Conclusion of contract
1. A contract shall be deemed to have been concluded when, on the one hand, the participant registers with the Seobility affiliate program and accepts the terms and conditions of use and, on the other hand, seobility GmbH accepts the Affiliate's offer, which shall be effected by activating the participant's access on the part of seobility GmbH.
2. seobility GmbH may reject an Affiliate's offer without stating reasons.
3. The participant shall be obligated to provide only truthful information upon registration. In addition, it must be stated whether there is the possibility of an input tax deduction.

Change of the terms of use
1. seobility GmbH reserves the right to change the terms of use at any time.
2. The contractual partners of the affiliate program shall be informed of any changes by e-mail.
3. If the Affiliate does not object to the changes to the Terms of Use within 2 weeks, the changes shall become part of the contract between seobility GmbH and the Affiliate.
4. The objection shall be made by mail or e-mail.
5. In the event of an objection, both contracting parties shall be permitted to terminate the contract without observing a notice period. The notice of termination must also be given by mail or e-mail.

Remuneration and preclusion period
1. The prerequisite for a claim to commission is that a new customer registers for a paid account with Seobility. This must be done either by the new customer having been deliberately redirected to Seobility beforehand via a link with the affiliate tracking code or a similar technical variant. Commission is only generated based on the basic subscription price for plans (Basic, Premium, Agency) that can be bought from the website.
2. The allocation of the referral commission to an affiliate is done via the following tracking method:
• Cookie Tracking
• IP based tracking
3. If several advertisers come into question for a new customer, the "last cookie wins" principle applies, which means that the one whose identification solution was last used by the new customer before registering for the paid service is considered the advertiser. The cookie lifetime of cookies on prospective customers is 90 days. The subsequent remunerations by current subscriptions to a recruited customer are determined directly by a direct database assignment to the affiliate.
4. In the account on the Seobility Affiliate Platform the Affiliate can inform himself about his commission amount. The entitlement to commission shall be based exclusively on actual, irrevocably collected net sales. The commission claim shall apply to all contracts concluded by the new customer recruited by the Affiliate via the recruited registration.
5. The commission for the Affiliate is 30 percent of the net sales of each newly concluded contract monthly, until termination. If the contract is terminated by the customer, there is also no more monthly commission for that recruited contract. Commissions will not be paid out for artificially created sign-ups or fraudulent activity of any kind.
6. No entitlement to commission shall arise if the new customer is already an existing customer of Seobility at the time of referral, or if the new customer is the participant in the affiliate program itself or companies and/or persons socially associated with it. Thus, self-referrals by the Affiliate shall not be entitled to commission.
7. Payment to the bank account specified by the Affiliate will be made at the request of the Affiliate at the beginning of each month, as soon as the minimum value of 100 € has been reached. A cash payment is not possible. If the minimum value is not reached in a month, the credit will accumulate until it is reached. No interest is paid on accumulated credit.
8. For acquired new customers who do not have their account in the EU, seobility GmbH will deduct the transfer fees from the affiliate's commission. For commissions exceeding 500 Euros, seobility GmbH will cover these costs.
9. seobility GmbH reserves the right to remove abandoned Affiliate accounts from our system and terminate this Agreement with immediate effect after a 6 month period of inactivity. In this case any accumulated Commissions will be forfeited. Abandoned Affiliate accounts are defined as any Affiliate account whose Affiliate dashboard has not been logged into for a period of 6 months or has no transactions posted during a period of six months.
10. Each Commission validly booked into the Affiliate account is valid for three years, starting at the end of the calendar year in which the Commission was credited to your account as “approved”. At the end of the validity period, the right to claim the respective Commission expires.
11. If a customer terminates its initial paid plan with seobility GmbH (e.g. downgrade to any free plan, account closure), the right to claim Commissions by the Affiliate ceases; irrespective of any reactivation conducted by seobility GmbH. Similarly, if a customer gives notice of a termination (intended downgrade) but is then actively approached by seobility GmbH to revoke such intended termination, the right to claim Commissions by the Affiliate ceases.
12. seobility GmbH reserves the right to change the payout conditions and models for future payouts and to inform the Affiliates about these changes at least one week in advance. Should the Affiliate not accept the changes, he shall be permitted to terminate the contract without notice.
13. The Affiliate Account is not transferable to another Affiliate.
14. The payment of the commission shall compensate for the Affiliate's expenses.

Obligations of seobility GmbH
1. After successful registration with the Seobility Partner Program and the participant's agreement to the General Terms and Conditions, seobility GmbH shall provide the participant with the advertising materials.
2. Furthermore, seobility GmbH shall be obligated to pay the participant the earned commission sum at the beginning of a month after the payout volume of at least 100€ has been reached.

Supplementary obligations of the Affiliate
1. The advertising material provided may only be forwarded by the Affiliate to new customers (persons or companies) in countries that Seobility accepts. The accepted countries will be named during registration.
2. Without prior written consent, the Affiliate shall not be permitted to modify the advertising materials provided by Seobility, neither technically nor in terms of content or appearance. Furthermore, the use of the advertising material shall only be permitted if required by the contractual purpose of this agreement. The use of the customer's own advertising media, such as banners, advertisements, websites, etc., shall also require the prior written consent of Seobility. It should be noted that when using the Affiliate's own materials, the Affiliate shall bear the sole risk with regard to copyrights and other rights of third parties.
3. The Affiliate shall not be authorized to make statements about Seobility's products that go beyond the information provided in the advertising material of this affiliate program and the product and service description on the target page. Furthermore, the Affiliate shall not make any untrue and/or fictitious statements about Seobility's products and offers.
4. Furthermore, the Affiliate undertakes not to place the advertising materials provided in environments that may be considered inappropriate. These environments include, in particular, pages with illegal, sexually suggestive, violence glorifying and/or human rights violating content as well as pages that contribute to the rights violations of third parties. Regardless of which of the advertising materials provided are used, the depiction of violence, sexually suggestive images, discriminatory, insulting or defamatory statements concerning race, gender, nationality, political orientation, religion, disability, age and/or sexual orientation in connection with seobility is not permitted. The seobility GmbH is allowed to terminate the partnership at any time if this point is violated.
5. Any unfair methods, such as cookie dropping, cookie spreading or similar practices, BrandBidding with regard to the Seobility brand, as well as with regard to brands and websites of similar providers are prohibited and not valid for commission.
6. Advertising in SEA ads (Google Adwords) shall require the explicit prior written consent of seobility GmbH.
7. The prospect of any form of reward, forced clicks or forced registrations on the part of the participant, as well as cookiedropping (distribution of cookies without sufficient banner display and intended click by the user) shall be prohibited. The new customer shall decide to register with Seobility of his or her own free will and motivation.
8. The sending of unsolicited e-mails containing advertising (spam mails) for Seobility is prohibited.
9. You may also not:
• conduct any forms of brand bidding
• use PostView ads
• use your affiliate link in any paid media. This includes advertisements such as search engine ads, Facebook or Instagram ads, or anything similar that would compete or otherwise cannibalize Seobility’s marketing and cause confusion for potential customers.
• bid in your pay-per-click campaigns on keywords such as seobility.net, seo bility, seobility coupons, seobility discounts, seobility, www.seobility, https://www.seobility.net , and/or any misspellings or similar alterations of these, be it separately or in combination with any other keywords. In order to use any seobility related keywords through paid advertising you need prior approval from one of Seobility's affiliate managers and direct the traffic from such campaigns to your own website prior to redirecting it to our website.
• use “doorway pages'' in such instances or overall as part of Seobility’s promotional activities is also strictly prohibited.
• transmit any so-called “interstitials,” “Parasiteware,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets'' or “deceptive pop-ups and/or pop-unders'' to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited the Seobility Website (i.e., no page from our site or any Seobility content or branding is visible on the end-user’s screen). As used herein a. “Parasiteware'' and “Parasitic Marketing” shall mean an application that:
(a) through accidental or direct intent causes the overwriting of Affiliate and non-Affiliate Commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email;
(b) intercepts searches to redirect traffic through an installed software, thereby causing, pop ups, Commission tracking cookies to be put in place or other Commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given Internet search and directory engines (services referred here as examples include, but are not limited to, Google, MSN, Yahoo, Hotbot);
(c) set Commission tracking cookies through loading of the Seobility site in IFrames, hidden links and automatic pop ups that open Seobility website;
(d) targets text on websites, other than those sites 100% owned by the application owner, for the purpose of contextual marketing; or
(e) removes, replaces or blocks the visibility of affiliate banners with any other banners, other than those that are on websites 100% owned by the owner of the application.
• Or any other use that may be regarded as fraudulent according to common online marketing practice according to generally accepted industry specific code of conducts and guidelines (such as of IAB Europe)
10. The Affiliate shall be liable for damages arising from the violation of the obligations of this agreement and from its own conduct or that of its employees. The Affiliate shall indemnify and hold seobility GmbH harmless from any and all third-party claims arising therefrom.
11. Violations shall also result in exclusion from the program and cancellation of the illegally generated commissions. This also applies to commission reclaims up to 12 months after payment.

Contract duration & termination
1. The duration of the contract is unlimited.
2. Both parties may terminate the contract without giving reasons by giving one week's notice. The termination must be made either in writing, stating the first and last name, company name (if available), user name, customer number and full address or via the affiliate account on the website.
3. In the event of a violation of the terms of use or applicable law, seobility GmbH shall be permitted to terminate the contract with immediate effect. There shall be no claim to payment for commissions earned in the course of such violations.
4. Within a two-day period after the end of the contract, the Affiliate shall take down any advertising material of Seobility from its website or from its campaigns by irrevocably deleting the advertising material of Seobility.
5. If the contract is terminated by either party without an existing breach, the remaining balance will be paid out on the next payout date, provided that the minimum payout value has been reached.

Confidentiality
1. Any information from this contract, side agreements and communications, which became known in the context of this partner program, are to be treated strictly confidentially.

Disclaimer
1. The Affiliate is prohibited from acting and/or pretending to act on behalf of seobility GmbH or Seobility. seobility GmbH shall not be liable for any illegal practices of the Affiliate that contradict the guidelines set forth herein.
2. Any third party claims arising from a violation of these Terms of Use shall not be the responsibility of seobility GmbH. The Affiliates are independent business partners who act on their own responsibility.

Final Provisions
1. These Terms of Use as well as any agreements concluded thereunder between seobility GmbH and the Affiliate shall be governed by the laws of the Federal Republic of Germany to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
2. Any amendments or supplements to these Terms of Use must be agreed upon in writing.
3. Should one or more provisions be invalid, this shall not affect the validity of the remaining agreements. In place of the ineffective agreement, a provision shall come into effect that fulfills the economic sense and purpose of the ineffective provision in a legally permissible manner.

Präambel

Vertragsparteien
1. Vertragsparteien sind die seobility GmbH (Seobility) und der Teilnehmer des Partnerprogramms (Affiliate).

Vertragsgegenstand
1. Zweck des Affiliateprogrammes und damit Gegenstand des Vertrages ist die Gewinnung von Neukunden.
2. Für die Implementierung der vom Teilnehmer gewählten Werbemöglichkeit ist der Affiliate selbst verantwortlich.
3. Die Kosten für die von ihm gewählten Werbemittel übernimmt der Affiliate selbst.
4. Dem Affiliate entstehen durch die Registrierung am Affiliate Programm von Seobility keine Verpflichtungen oder Kosten.
5. Eine juristische Person darf sich für ein Affiliate-Konto registrieren. Es ist nicht erlaubt, mehrere Affiliate-Konten pro juristischer Person oder in Verbindung mit einer E-Mail-Adresse zu haben. Zur Klarstellung: Eine Einzelperson kann mehr als ein Affiliate-Konto verwalten.

Vertragsschluss
1. Ein Vertragsabschluss ergibt sich daraus, dass sich zum einen der Teilnehmer bei dem Partnerprogramm von Seobility anmeldet und die Nutzungsbedingungen akzeptiert und zum anderen, dass die seobility GmbH das Angebot des Affiliates annimmt, was über die Freischaltung des Teilnehmerzugangs seitens der seobility GmbH geschieht.
2. Die seobility GmbH kann ohne Angabe von Gründen das Angebot eines Affiliates ablehnen.
3. Der Teilnehmer ist verpflichtet nur wahrheitsgemäße Angaben bei der Registrierung zu machen. Zudem ist anzugeben, ob die Möglichkeit einer Vorsteuerabzugsberechtigung besteht.

Änderung der Nutzungsbedingungen
1. Der seobility GmbH ist es vorbehalten die Nutzungsbedingungen jederzeit zu ändern.
2. Die Vertragspartner des Affiliate-Programms werden über Änderungen per E-Mail informiert.
3. Widerspricht der Affiliate nicht innerhalb von 2 Wochen den Änderungen der Nutzungsbedingungen, so werden die Änderungen Teil des Vertrages zwischen der seobility GmbH und dem Affiliate.
4. Der Widerspruch hat postalisch oder per E-Mail zu erfolgen.
5. Bei Widerspruch ist es beiden Vertragsparteien erlaubt den Vertrag ohne Einhaltung einer Kündigungsfrist zu kündigen. Die Kündigung wiederum hat ebenfalls postalisch oder per E-Mail zu erfolgen.

Vergütung und Ausschlussfrist
1. Die Voraussetzung für einen Provisionsanspruch ist, dass sich ein Neukunde für einen kostenpflichtigen Premium Account bei Seobility registriert. Dies muss entweder darüber geschehen, dass der Neukunde vorher bewusst über einen Link mit dem Affiliate Tracking Code oder eine ähnliche technische Variante zu Seobility weitergeleitet wurde. Provisionen werden nur auf der Grundlage des Basis-Abonnementpreises für Pläne (Basic, Premium, Agency) generiert, die auf der Website erworben werden können.
2. Die Zuordnung der Vermittlungsprovision zu einem Affiliate kommt über die folgende Tracking Methode zustande:
• Cookie Tracking
• IP Basiertes Tracking
3. Kommen bei einem Neukunden mehrere Werber in Frage, so gilt der Grundsatz des "last cookie wins-Prinzips", was bedeutet, dass derjenige als Werber gewertet wird, dessen Identifizierungslösung beim Neukunden zuletzt vor Anmeldung für den kostenpflichtigen Dienst zum Zuge kam. Die Cookie-Laufzeit von Cookies bei Interessenten beträgt 90 Tage. Die nachfolgenden Vergütungen durch laufenden Abonnements zu einem geworben Kunden werden direkt über eine direkte Datenbankzuordnung zum Affiliate ermittelt.
4. Im Account auf der Seobility Affiliate Plattform kann sich der Affiliate über seine Provisionshöhe informieren. Der Provisionsanspruch kommt ausschließlich durch tatsächlich unwiderruflich vereinnahmte Netto-Umsätze zuStande. Für alle Verträge, die der Neukunde, der über den Affiliate geworben wurde, über die geworbene Registrierung abschließt, gilt der Provisionsanspruch.
5. Die Provision für den Affiliate ist 30 Prozent des Nettoumsatzes jedes neu abgeschlossenen Vertrages monatlich, bis zur Kündigung. Wird der Vertrag vom Kunden beendet, so gibt es auch keine monatliche Provision für jenen geworbenen Vertrag mehr. Für künstlich erzeugte Sign-ups oder betrügerische Aktivitäten jeglicher Art werden keine Affiliate Auszahlungen genehmigt.
6. Es entsteht kein Provisionsanspruch, wenn der Neukunde zum Zeitpunkt der Weiterleitung bereits ein Bestandskunde von Seobility ist, oder wenn der Neukunden der Teilnehmer am Affiliateprogramm selbst oder mit ihm gesellschaftlich verbundene Unternehmen und/oder Personen ist. Eine Eigenvermittlung des Affiliates ist somit nicht provisionsberechtigt.
7. Die Auszahlung auf das vom Affiliate angegebene Bankkonto erfolgt auf Antrag des Affiliates zum jeweiligen Beginn eines Monats, sobald der Mindestwert von 100 € erreicht wurde. Eine Barauszahlung ist nicht möglich. Wird der Mindestwert in einem Monat nicht erreicht, so häuft sich das Guthaben so lange auf, bis dieser erreicht wird. Für aufgelaufene Guthaben erfolgt keine Verzinsung.
8. Bei geworbenen Neukunden, die Ihr Konto nicht in der EU haben, zieht die seobility GmbH die Überweisungsgebühren von der Provision des Affiliates ab. Bei Provisionen, die 500 Euro übersteigen, übernimmt die seobility GmbH diese Kosten.
9. Die seobility GmbH behält sich das Recht vor, verwaiste Affiliate-Konten nach einer sechsmonatigen Inaktivitätsphase aus unserem System zu entfernen und diese Vereinbarung mit sofortiger Wirkung zu kündigen. In diesem Fall verfallen alle angesammelten Provisionen. Als verwaiste Affiliate-Konten gelten alle Affiliate-Konten, bei denen über einen Zeitraum von sechs Monaten nicht in das Affiliate-Dashboard eingeloggt wurde oder bei denen über einen Zeitraum von sechs Monaten keine Transaktionen gebucht wurden.
10. Jede auf dem Affiliate-Konto gebuchte Provision ist drei Jahre lang gültig, beginnend am Ende des Kalenderjahres, in dem die Provision dem Konto des Affiliates als „Genehmight“ gutgeschrieben wurde. Nach Ablauf der Gültigkeitsdauer erlischt der Anspruch auf die jeweilige Provision.
11. Kündigt ein Kunde sein ursprüngliches kostenpflichtiges Abo bei der seobility GmbH (z.B. Downgrade auf ein beliebiges kostenloses Abo, Schließung des Accounts), erlischt der Provisionsanspruch des Affiliates für zukünftige Provisionen; unabhängig von einer etwaigen Reaktivierung durch die seobility GmbH. Ebenso erlischt der Provisionsanspruch des Affiliates für zukünftige Provisionen, wenn der Kunde eine Kündigung ausspricht (beabsichtigtes Downgrade) und dann von der seobility GmbH aktiv angesprochen wird und er diese beabsichtigte Kündigungsabsicht aufgibt.
12. Die seobility GmbH behält es sich vor, die Auszahlungsbedingungen und -modelle für zukünftige Auszahlungen zu ändern und die Affiliates über diese Änderungen mindestens eine Woche vorher in Kenntnis zu setzen. Sollte der Affiliate die Änderungen nicht akzeptieren, so ist es ihm erlaubt, den Vertrag fristlos zu kündigen.
13. Der Affiliate Account ist nicht an einen anderen Affiliate übertragbar.
14. Durch die Auszahlung der Provision ist der Aufwand des Partners abgegolten.

Pflichten der seobility GmbH
1. Nach erfolgreicher Registrierung beim Seobility-Partner-Programm und der Zustimmung zu den AGB seitens des Teilnehmers hat die seobility GmbH dem Teilnehmer die Werbemittel zur Verfügung zu stellen.
2. Ferner ist die seobility GmbH dazu verpflichtet, dem Teilnehmer nach Erreichen des Auszahlungsvolumens von mindestens 100 € zum Beginn eines Monats die erwirtschaftete Provisionssumme auszuzahlen.

Ergänzende Pflichten des Affiliates
1. Die zur Verfügung gestellten Werbemittel dürfen seitens des Affiliates nur an Neukunden (Personen oder Unternehmen) in Ländern weitergeleitet werden, die Seobility akzeptiert. Die akzeptierten Länder werden bei der Registrierung genannt.
2. Ohne vorherige schriftliche Zustimmung ist es dem Affiliate nicht erlaubt, die zur Verfügung gestellten Werbemittel von Seobility zu verändern, weder technisch, inhaltlich noch optisch. Außerdem ist die Nutzung der Werbemittel nur erlaubt, sofern es der Vertragszweck dieses Vertrages verlangt. Auch eine Verwendung eigener Werbemittel, wie etwa Banner, Anzeigen, Websites etc., muss von Seobility vorher schriftlich zugestimmt werden. Es ist zu beachten, dass bei der Verwendung eigener Materialien der Affiliate das alleinige Risiko trägt, was die Urheber- und sonstige Rechte Dritter anbelangt.
3. Zu Aussagen über die Produkte von Seobility, die über die Angaben der Werbemittel dieses Affiliateprogramms sowie des Produkt und Leistungsbeschreibung auf der Zielseite hinausgehen, ist der Affiliate nicht befugt. Der Affiliate ist darüber hinaus verpflichtet, keine unwahren und/oder erfundenen Aussagen über die Produkte und Angebote von Seobility zu machen.
4. Des Weiteren verpflichtet sich der Affiliate die zur Verfügung gestellten Werbemittel nicht in Umfeldern anzubringen, die als unangemessen angesehen werden können. Zu diesen Umfeldern zählen, vor allem Seiten mit rechtswidrigem, sexuell anzüglichem, gewaltverherrlichendem und/oder menschenrechtsverletzendem Inhalt als auch Seiten, die zu Rechtsverletzungen Dritter beisteuern. Ungeachtet dessen, welche der zur Verfügung gestellten Werbemittel genutzt werden, ist die Darstellung von Gewalt, sexuell anzügliche Bilder, diskriminierende, beleidigende oder verleumderische Aussagen die Rasse, das Geschlecht, die Nationalität, die politische Ausrichtung, Religion, Behinderung, Alter und/oder sexueller Neigung betreffend im Zusammenhang mit Seobility nicht erlaubt. Der seobility GmbH ist es erlaubt, die Partnerschaft jederzeit zu beenden, sollte dieser Punkt verletzt werden.
5. Jegliche unfaire Methoden, wie Cookie Dropping, Cookie Spreading oder ähnliche Praktiken sind unerlaubt und nicht provisionsgültig. Auch dürfen keine Webseiten von Seobility in einem iframe geladen werden.
6. PostView Anzeigen sind nicht erlaubt.
7. Für die Bewerbung in SEA Anzeigen (Google Adwords) bedarf es einer expliziten vorherigen schriftlichen Zustimmung seitens der seobility GmbH.
8. Brand Bidding hinsichtlich der Marke Seobility, sowie auch bezüglich Marken und Websites ähnlicher Anbieter ist verboten.
9. Sie dürfen nicht:
• Ihren Affiliate-Link in Paid Media verwenden. Dies umfasst Anzeigen wie Suchmaschinenwerbung, Facebook- oder Instagram-Anzeigen oder Ähnliches, die mit dem Marketing von Seobility GmbH konkurrieren oder es anderweitig kannibalisieren und bei potenziellen Kunden Verwirrung stiften würden.
• In Ihren Pay-per-Click-Kampagnen auf Keywords wie seobility.net, seo bility, seobility coupons, seobility discounts, seobility, www.seobility, https://www.seobility.net und/oder auf falsch geschriebene oder ähnliche Abwandlungen dieser Keywords bieten, sei es einzeln oder in Kombination mit anderen Keywords. Um seobility-bezogene Keywords im Rahmen bezahlter Werbung zu verwenden, benötigen Sie die vorherige Genehmigung eines Affiliate-Managers von der Seobility GmbH und müssen den Traffic aus solchen Kampagnen auf Ihre eigene Website leiten, bevor Sie ihn auf unsere Website weiterleiten.
• Die Verwendung von „Doorway Pages“ in solchen Fällen oder generell im Rahmen der Werbemaßnahmen von Seobility ist ebenfalls strengstens untersagt.
• Verbreitung von sogenannten „Interstitials“, „Parasiteware“, „Parasitic Marketing“, „Shopping Assistance Application“, „Toolbar-Installationen und/oder Add-ons“, „Shopping Wallets“ oder „irreführenden Pop-ups und/oder Pop-Under“ an Verbraucher, und zwar ab dem Zeitpunkt, zu dem der Verbraucher auf einen qualifizierenden Link klickt, bis zu dem Zeitpunkt, zu dem der Verbraucher die Seobility-Website vollständig verlassen hat (d. h., keine Seite unserer Website oder Inhalte oder Marken von Seobility GmbH sind auf dem Bildschirm des Endnutzers sichtbar). Wie hier verwendet a. ‚Parasiteware‘ und ‚Parasitic Marketing‘ bezeichnet eine Anwendung, die:
(a) durch versehentliches oder absichtliches Überschreiben von Affiliate- und non-Affiliate Tracking-Cookies durch andere Mittel als einen vom Benutzer initiierten Klick auf einen qualifizierenden Link auf einer Webseite oder in einer E-Mail verursacht wird;
(b) Suchanfragen abfängt, um den Datenverkehr über eine installierte Software umzuleiten, wodurch Pop-ups, Tracking-Cookies gesetzt oder andere Tracking-Cookies überschrieben werden, wenn ein Benutzer unter normalen Umständen über die Ergebnisse von Internet-Such- und Verzeichnismaschinen (zu den hier als Beispiel genannten Diensten gehören unter anderem Google, MSN, Yahoo, Hotbot) zum gleichen Ziel gelangt wäre;
(c) Tracking-Cookies der Kommission durch Laden der Seobility-Website in IFrames, versteckte Links und automatische Pop-ups, die die Seobility-Website öffnen, setzen;
(d) Text auf Websites, die nicht zu 100 % dem Betreiber der Anwendung gehören, zum Zwecke des kontextbezogenen Marketings ausrichten; oder
(e) die Sichtbarkeit von Affiliate-Bannern entfernt, ersetzt oder blockiert durch andere Banner, außer denen, die sich auf Websites befinden, die zu 100 % dem Betreiber der Anwendung gehören.
• Oder jede andere Nutzung, die gemäß den üblichen Online-Marketing-Praktiken und den allgemein anerkannten branchenspezifischen Verhaltenskodizes und Richtlinien (z. B. des IAB Europe) als betrügerisch angesehen werden kann.
10. Das Inaussichtstellen einer Belohnung jeder Form, erzwungene Klicks (forced clicks) oder erzwungene Anmeldungen seitens des Teilnehmers, sowie Cookiedropping (Verteilen von Cookies ohne ausreichende Bannereinblendung und beabsichtigten Klick des Users) sind unzulässig. Der Neukunde hat sich aus freien Stücken und aus eigener Motivation heraus für eine Registrierung bei Seobility zu entscheiden.
11. Das Versenden unerwünschter E-Mails mit Werbung (Spam-Mails) für Seobility ist untersagt.
12. Für Schäden, die aus der Verletzung der Pflichten dieses Vertrages und durch eigenes Verhalten oder das seiner Mitarbeiter entstehen, hat der Affiliate zu haften. Von allen hieraus entstehenden Ansprüchen Dritter wird er die seobility GmbH freistellen.
13. Zuwiderhandlungen führen außerdem zum Ausschluss aus dem Programm und zur Stornierung der widerrechtlich generierten Provisionen. Dies betrifft auch Provisionsrückforderungen bis zu 12 Monaten nach der Auszahlung.

Vertragsdauer & Kündigung
1. Die Laufzeit des Vertrags ist unbefristet.
2. Beide Seiten können ohne die Angabe von Gründen unter Einhaltung einer einwöchigen Kündigungsfrist den Vertrag kündigen. Die Kündigung muss entweder schriftlich unter Angabe des Vor- und Nachnamens, des Firmennamens (wenn vorhanden), des Benutzernamens, der Kundennummer und der vollständigen Anschrift oder über den Affiliate Account auf der Website erfolgen.
3. Im Falle eines Verstoßes gegen die Nutzungsbedingungen oder gegen geltendes Recht ist es der seobility GmbH erlaubt, den Vertrag mit sofortiger Wirkung zu beenden. Für Provisionen, die im Rahmen jener Verstöße erwirtschaftet wurden, besteht kein Auszahlungsanspruch.
4. Innerhalb von einer zweitägigen Frist nach Vertragsende muss der Affiliate jegliche Werbemittel von Seobility von seiner Website oder aus seinen Kampagnen herunternehmen, indem er die Werbemittel von Seobility unwiderruflich löscht.
5. Wird der Vertrag von einer der beiden Seiten ohne einen vorliegenden Verstoß gekündigt, so wird das noch bestehende Guthaben zum nächsten Auszahlungsdatum, sofern der Mindestauszahlungswert erreicht wurde, ausgezahlt.

Vertraulichkeit
1. Jegliche Informationen aus diesem Vertrag, Nebenabreden und Mitteilungen, die im Rahmen dieses Partnerprogramms bekannt wurden, sind strikt vertraulich zu behandeln.

Haftungsausschluss
1. Es ist dem Affiliate untersagt, im Namen der seobility GmbH oder Seobility aufzutreten und/oder eine Vertretung vorzutäuschen. Die seobility GmbH haftet nicht für illegale Praktiken des Affiliates, die den hier aufgeführten Richtlinien widersprechen.
2. Jegliche Ansprüche Dritter, die durch einen Verstoß gegen diese Nutzungsbedingungen entstehen, sind nicht von der seobility GmbH zu verantworten. Die Affiliates sind unabhängige Geschäftspartner, die eigenverantwortlich handeln.

Schlussbestimmungen
1. Diese Nutzungsbedingungen sowie darunter geschlossene Vereinbarungen zwischen der seobility GmbH und dem Affiliate unterliegen dem Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
2. Jegliche Änderungen oder Ergänzungen dieser Nutzungsbedingungen müssen schriftlich vereinbart werden.
3. Sollten einzelne oder mehrere Bestimmungen unwirksam sein, so berührt dies nicht die Wirksamkeit der restlichen Vereinbarungen. An Stelle der unwirksamen Vereinbarung kommt eine Regelung zum Tragen, die in rechtlich zulässiger Art den wirtschaftlichen Sinn und Zweck der unwirksamen Bestimmung erfüllt.
